1. Acceptance of these Terms
These Terms of Service (“Terms”) constitute a binding agreement between you and Cipher Academy LLC, a Delaware limited liability company (“Cipher,” “we,” “us,” or “our”), regarding your access to and use of the Cipher Academy website, mobile interface, content, curriculum, and related services (collectively, the “Service”).
By creating an account, clicking “I agree,” or using the Service, you accept these Terms and our Privacy Policy. If you do not agree, do not use the Service.
You must be at least 18 years old and have legal capacity to enter contracts. By using the Service you represent that you meet these requirements.
2. The Service
Cipher provides an online educational platform that teaches the science of reading people — body language, persuasion, negotiation, cognitive biases, and related disciplines — through lessons, interactive scenarios, AI-generated coaching, and progress tracking.
Educational purpose only. The Service is for personal education. It is not professional psychological, legal, medical, therapeutic, or law-enforcement advice. Do not use the Service to make decisions that require qualified professional judgment.
3. Accounts
- You are responsible for keeping your password confidential and for all activity under your account.
- One account per person. Do not share, resell, or transfer your account.
- You agree to provide accurate registration information and update it as it changes.
- We may suspend or terminate accounts that violate these Terms or that we reasonably suspect of fraud, abuse, or security risk.
4. Subscriptions, trial, and billing
Plans
We offer Free, Cipher Basic, Cipher Elite, and Lifetime Founder plans. Current pricing and features are shown at the time of purchase on cipheracademy.ai and incorporated by reference.
Free trial
A 7-day free trial of Cipher Elite is available to new users who have not previously held an Elite subscription. No payment method is required to start the trial. If you choose to continue after the trial, you must provide a valid payment method; otherwise your account reverts to the Free plan.
Auto-renewal
Monthly and yearly subscriptions renew automatically at the end of each billing period at the then-current price, unless you cancel at least 24 hours before renewal. We will email you a reminder before each yearly renewal.
Cancellation
You can cancel at any time from your account settings. Cancellation takes effect at the end of the current billing period; you retain access until that date.
Refunds
- Monthly subscriptions: non-refundable except where required by law.
- Annual subscriptions: refundable within 14 days of initial purchase or renewal, on a pro-rata basis.
- Lifetime Founder: refundable within 30 days of purchase, in full.
- EU/UK/EEA users have a 14-day right of withdrawal under the EU Consumer Rights Directive; the right is waived for digital content once you begin using paid features.

Taxes
Prices are exclusive of applicable VAT, GST, or sales tax, which we collect where required.
5. Acceptable use
You agree not to:
- Use the Service to harass, stalk, surveil, manipulate without consent, or harm any individual.
- Apply techniques learned through the Service to commit fraud, coerce minors, conduct unlicensed interrogation, or any unlawful activity.
- Scrape, copy, reverse-engineer, or redistribute Cipher content, AI outputs, voice files, or curriculum without written permission.
- Use the Service to train or fine-tune any AI model, dataset, or competing product.
- Circumvent access controls, attempt unauthorized access, or interfere with the Service's security or integrity.
- Upload illegal, infringing, defamatory, sexually explicit, or harmful content into scenarios, prompts, or community features.
- Resell, sublicense, white-label, or otherwise commercialize access to the Service.
We may investigate suspected violations and remove content, suspend accounts, and report unlawful conduct to authorities. You consent to such actions as part of our duty to operate the Service safely.
6. Intellectual property
Our content
The Service and all content delivered through it — including lessons, scenarios, code, design, audio, video, logos, and the Cipher Academy™ mark — are owned by Cipher or its licensors and protected by US and international copyright, trademark, and trade-secret law. We grant you a limited, personal, non-transferable, non-exclusive, revocable license to access and use the Service for your own non-commercial educational purposes.
Your content
You retain ownership of content you submit (e.g., notes, free-text scenario inputs). You grant Cipher a worldwide, royalty-free license to host, store, reproduce, and adapt your content solely to operate the Service for you. This license ends when you delete the content or your account, except for backups retained as described in our Privacy Policy.
AI outputs
Personalized AI responses generated for you are licensed to you for personal use. You may not republish them as if they were independent works, and you may not use them to train or evaluate AI models.
7. Third-party services
The Service relies on third-party processors including Stripe (payments), Supabase (data hosting), Vercel (web hosting), PostHog (analytics), Sentry (error reporting), OpenAI (LLM), and ElevenLabs (text-to-speech). Your use of those processors' features is also subject to their terms. We are not responsible for third-party services or content.
8. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR QUIET ENJOYMENT.
We do not warrant that the Service will be uninterrupted, error-free, secure against intrusion, or that any defect will be corrected. AI responses may contain inaccuracies; do not rely on them as professional advice.
9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CIPHER, ITS OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR REPUTATION, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID CIPHER IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD $100.
Nothing in these Terms excludes or limits liability that cannot be excluded under applicable law (including, in the EU/UK, liability for death or personal injury caused by negligence, fraud, or gross negligence).
10. Indemnification
You agree to defend, indemnify, and hold harmless Cipher and its affiliates from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from (a) your use of the Service in violation of these Terms or law, (b) your User Content, or (c) your violation of any third-party right. We may assume exclusive defense and control of any matter subject to indemnification, in which case you agree to cooperate with us.
11. Termination
You may stop using the Service and delete your account at any time. We may suspend or terminate your access immediately, with or without notice, if you breach these Terms, use the Service unlawfully, or if continued provision creates legal or operational risk.
Sections that by their nature should survive termination — including Sections 6 (IP), 8 (Disclaimers), 9 (Liability), 10 (Indemnification), 13 (Dispute Resolution), and 14 (General) — survive any termination.
12. Modifications
We may modify these Terms from time to time. Material changes will be announced by email and an in-app notice at least 30 days before they take effect. Continued use after the effective date constitutes acceptance. If you do not accept the changes, your sole remedy is to stop using the Service and cancel your subscription.
13. Dispute resolution
Informal resolution
Before filing any formal dispute, please email info@cipheracademy.net with a description of the issue. We will attempt to resolve it in good faith within 60 days.
Binding arbitration (US users)
If informal resolution fails, you and Cipher agree that any dispute arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules, in Wilmington, Delaware (or by video). Either party may seek injunctive relief in court for intellectual-property infringement.
Class-action waiver
Disputes must be brought in your individual capacity, not as a member of any class or representative proceeding.
EU / UK / EEA
Consumers in the EU/UK retain the right to bring claims in their local courts. Nothing in this Section limits statutory consumer protections. EU consumers may also use the European Commission's ODR platform at ec.europa.eu/consumers/odr.
14. General
- Governing law: Delaware, USA, excluding conflict-of-laws rules.
- Severability: if any provision is held unenforceable, the remaining provisions remain in effect.
- No waiver: failure to enforce a provision is not a waiver of future enforcement.
- Assignment: you may not assign these Terms; we may assign them to a successor in connection with a merger, sale, or reorganization.
- Force majeure: we are not liable for delays caused by events beyond our reasonable control.
- Entire agreement: these Terms and the Privacy Policy constitute the entire agreement between you and Cipher regarding the Service.

15. Apple App Store (where applicable)
If you access the Service through an Apple iOS app: (a) these Terms are between you and Cipher, not Apple, and Apple is not responsible for the Service; (b) Apple is a third-party beneficiary of these Terms and may enforce them; (c) for end-user license terms, the standard Apple EULA applies; (d) you confirm you are not located in a US-embargoed country or on any US-government list of restricted parties.
